Terms of Service

1. Eligibility

You must be at least 16 years old and have legal capacity to enter into a contract. If you use the Service on behalf of a company, you confirm you are authorized to bind that company.

2. Account Registration

• You must provide accurate, complete information.
• You are responsible for keeping your password confidential.
• You are responsible for all activity under your account.
• Notify us immediately at [email protected] of any unauthorized use.

3. The Service

ManifestReelAI provides AI-powered tools for generating short-form vertical videos (“Reels”) for social media. The Service includes script generation, image/video synthesis, voice synthesis, subtitles, music, brand presets, and optional direct publishing to connected social platforms.

We may update, modify, or discontinue features at any time. Significant changes affecting paid tiers will be communicated at least 30 days in advance.

4. Subscriptions, Credits & Payment

4.1 Plans

We offer Starter ($19/mo), Pro ($49/mo), and Studio ($149/mo) tiers, plus annual billing with 2 months free. Each tier includes a monthly allowance of motion and still reels. Quotas, features, and prices are published on manifestreelai.com.

4.2 Billing

• Payments are processed by Stripe.
• Subscriptions auto-renew until canceled.
• Annual plans are billed upfront for 12 months.
• Prices may change with 30 days' notice; existing subscribers retain their current price until renewal.

4.3 Refunds

• Monthly plans: non-refundable once the billing cycle starts.
• Annual plans: refundable within 14 days of purchase, minus the prorated cost of any reels generated during that period.
• Statutory rights: EU consumers retain a 14-day right of withdrawal, unless the service has been substantially used (reels generated).

4.4 Cancellation

You may cancel anytime from your account settings. Access continues until the end of the paid period.

4.5 Failed Payments

If payment fails, we will retry for 7 days. Continued failure results in downgrade to free tier.

5. Acceptable Use

You agree NOT to use the Service to create or distribute content that:

• Violates any law or third-party right.
• Is sexual content involving minors, non-consensual sexual content, or any CSAM.
• Promotes hatred, violence, or discrimination based on protected characteristics.
• Impersonates a real person without their consent (including deepfakes).
• Infringes copyright, trademark, or publicity rights.
• Distributes malware, phishing content, or spam.
• Generates misleading political content or disinformation.
• Attempts to reverse-engineer, scrape, or overload the Service.
• Resells the Service without a Studio API license.

Violations may result in immediate account termination without refund and referral to authorities where appropriate.

6. Intellectual Property

6.1 Your Content

You retain all rights to:

• Scripts and prompts you write.
• Brand assets (logos, colors, fonts) you upload.
• Voice samples you upload for cloning.

You grant us a limited, worldwide, royalty-free license to process this content solely to deliver the Service.

6.2 Generated Reels

Subject to your compliance with these Terms and applicable law, you own the Reels generated for you and may use them for personal or commercial purposes.

You acknowledge that:

• AI-generated content may not be eligible for copyright in all jurisdictions.
• Other users may generate similar outputs from similar prompts.
• Underlying AI models are licensed from third parties (OpenAI, fal.ai, ElevenLabs) and subject to their respective terms.

6.3 Our IP

The Service, including software, UI, branding, and documentation, is owned by Bc. Karel Granát and protected by copyright and trademark law. You may not copy, modify, or create derivative works.

7. Social Platform Publishing

When you connect TikTok, YouTube, Instagram, or Facebook and publish a Reel through ManifestReelAI:

• You confirm you have the right to post that content.
• You agree to comply with each platform's terms of service and community guidelines.
• We are not responsible for actions taken by these platforms (removal, account suspension, monetization decisions).
• You may disconnect any platform at any time.

8. Third-Party Services

The Service relies on third-party providers (Stripe, OpenAI, fal.ai, ElevenLabs, TikTok, Meta, Google). We are not responsible for outages, performance, or policy changes by these providers. Their respective terms apply to your use of their services.

9. Beta Features

Features marked “Beta” or “Preview” are provided “as is” and may be modified or removed without notice. We may collect additional usage data on beta features to improve them.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

This does not limit any non-waivable statutory rights you may have as a consumer.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Bc. Karel Granát SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUES, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

These limits do not apply to liability that cannot be excluded by law (e.g. gross negligence, willful misconduct, or statutory consumer rights).

12. Indemnification

You agree to indemnify and hold harmless Bc. Karel Granát from any claim, loss, or expense (including legal fees) arising from your violation of these Terms, your content, or your misuse of the Service.

13. Termination

We may suspend or terminate your account for material breach of these Terms, fraudulent activity, prolonged non-payment, or legal requirement, with reasonable notice where possible. You may terminate at any time by canceling your subscription and deleting your account.

Upon termination:

• Access ends at the conclusion of the paid period (no refund for monthly).
• Generated reels remain downloadable for 30 days.
• Personal data is erased within 30 days (see Privacy Policy §6).

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of Czech Republic, excluding its conflict-of-laws rules. Disputes shall be resolved exclusively in the courts of Czech Republic, unless mandatory consumer protection law requires otherwise.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced by email and in-app banner at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
